Terms and Conditions

Service Scope

Lekha is an operating ledger for recording and tracking receivables, payables, salaries, stock, and document-capture workflows. It is not a payment gateway or a statutory filing substitute.

No Tax or Compliance Determination

Lekha records the information you enter and the documents you upload, and tracks their status. Lekha does not determine your GST, e-invoice, e-way-bill, HSN, place-of-supply, MSME, or any other tax or statutory obligation. Any thresholds, advisories, or computed figures shown are conveniences based on the data you provide and are not tax advice. You, together with your chartered accountant or tax advisor, are solely responsible for confirming and meeting your obligations. Lekha is not the Invoice Registration Portal (IRP) and does not itself issue IRNs; e-invoice registration, where applicable, is performed through an authorised GST Suvidha Provider / Application Service Provider.

Record-Only Payments

Lekha records payment events you enter (date, amount, mode, reference). Lekha never executes, initiates, settles, or holds funds for any payment, and is not a payment gateway, payment aggregator, or payment system operator under the Payment and Settlement Systems Act or any RBI framework. All actual movement of money happens outside Lekha through your own banking channels.

Account and Access

You are responsible for account credentials, user mappings, and all activity from your tenant. Access may be suspended for abusive or unlawful usage.

Minimum Age

You must be at least 18 years old to create or operate a Lekha account. Lekha is a business product; members invited to an organisation are presumed to be the account holder’s adult employees or partners. Per DPDP-2023 §9, we do not knowingly process personal data of children under 18 in India.

Plans and Write Access

Free plan tenants are read-only. Write operations are enabled after your subscription is updated by the admin team.

Customer Data

You retain ownership of your business data. You are responsible for data accuracy, legal compliance, and retention requirements in your jurisdiction.

Acceptable Use

  • No unlawful, fraudulent, or abusive use.
  • No attempts to bypass tenant or role access controls.
  • No reverse engineering or interference with service integrity.

Subscription, Billing, and Payment

Paid plans are prepaid for the tenure you choose at sign-up. The default and most common tenure is one year (twelve months) paid upfront; monthly tenure is available on request. Lekha is a push-payment service: we do not auto-debit your bank account or card. You pay each period by direct bank transfer (UPI / IMPS / NEFT) into the Ekarche current account named on the invoice. We use no payment gateway, aggregator, or card processor, and never store card details.

Ekarche Private Limited is the seller of record for Lekha subscriptions. For each period we issue a GST-compliant tax invoice with our GSTIN 09AAJCE7033P1Z1. Where an e-invoice is required, we submit the invoice payload to an authorised GST Suvidha Provider (GSP), which registers the IRN with the Invoice Registration Portal — we are not ourselves the IRP. The invoice is sent to the email on file and carries the bank / UPI details for the payment.

We send a renewal reminder approximately 14 days and 7 days before your current period ends. If we do not receive your renewal payment by the end of the period, write access is suspended and the tenant drops to the free read-only tier; your data and historical records remain available. Pay any time after that to reactivate; write access is restored on the next business day after the payment is reconciled in our books.

Material price changes are notified at least 30 days in advance. Continued use after the change takes effect at your next renewal constitutes acceptance of the new price.

Refund and Cancellation

You may cancel a Lekha subscription at any time by emailing lekha@ekarche.com from the registered email on the account.

Because Lekha subscriptions are prepaid and you receive a GST-compliant tax invoice at the start of each period:

  • First-time annual subscribers may request a pro-rated refund within 7 days of the first payment, less applicable IGST / CGST / SGST already remitted to the government. Pro-rated means the refund is reduced by the value of the days you have already used the service at our standard monthly rate. After the 7-day window, the annual payment is non-refundable.
  • Annual renewals are not refundable. The 14-day and 7-day renewal reminders give you the opportunity to cancel before paying.
  • Monthly subscribers (where monthly is offered) may cancel at any time; the current paid month runs to its end and no refund is issued for the unused portion.
  • Refunds, where due, are processed by UPI / NEFT to the same account the original payment came from within 14 working days. We do not refund to a third-party account.

Where Indian consumer-protection law or your local equivalent mandates a refund beyond this policy, the statutory right prevails.

Intellectual Property

Ekarche Private Limited owns all rights in the Lekha software, interfaces, and branding. You receive a limited, non-exclusive, non-transferable licence to use the service for your business while your subscription is active.

You retain ownership of your business data. You grant Lekha a limited, non-exclusive, royalty-free licence to host, copy, process, and display your business data solely for the purpose of operating the service for you and the team members you have invited. The licence is bounded to that purpose: we do not use your data for advertising, do not sell or share it with third parties for their own use, and do not use it to train AI models. The sub-processors named at /subprocessors touch your data only to deliver the service. The licence terminates when you delete the data or the account, except for short-lived encrypted backup retention disclosed in the privacy policy.

Warranty, Liability, and Indemnity

The service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose. To the maximum extent permitted by law, Ekarche’s aggregate liability arising out of or relating to the service is limited to the fees you paid in the twelve months preceding the claim, and Ekarche is not liable for indirect, incidental, or consequential damages. You agree to indemnify Ekarche against claims arising from your unlawful use of the service or the data you submit.

Governing Law and Disputes

These terms are governed by the laws of India. Disputes are first escalated to lekha@ekarche.comfor good-faith resolution within 30 days. If unresolved, disputes are referred to arbitration under the Arbitration and Conciliation Act 1996, seat at the registered office of Ekarche Private Limited, conducted in English by a sole arbitrator agreed by the parties or appointed by the court. Each party bears its own costs; the arbitrator’s decision is final and binding. No class actions or collective proceedings.

Change of Terms

We may update these terms from time to time. Material changes (anything that meaningfully expands what you owe us, reduces your rights, or changes the dispute-resolution clause) are notified at least 30 days before they take effect by email to the address on file and a banner in the admin panel. Continued use after the effective date constitutes acceptance; if you do not accept, cancel before the change lands.

Severability and Force Majeure

If any provision of these terms is held unenforceable, the rest remain in effect. Neither party is liable for failure or delay caused by events beyond reasonable control — natural disasters, government action, internet backbone outages, or third-party provider outages — provided the affected party gives prompt notice and works in good faith to resume.
